Grease and flour 2-9" round pans; place wax paper on the bottoms.
Combine cake mix, cocoa, eggs, water and miracle whip; beat on low for 30 seconds then on medium for 2 minutes.
Pour into pans and bake at 350 degrees for 30-35 minutes; remove and cool on rack for 10 minutes. Remove wax paper and cool completely.
FROSTING
Cream together on medium cream cheese, milk, and vanilla. Gradually and alternately add powdered sugar and cocoa. Beat on high till creamy. Then frost cake.
